These Terms of Service ("Terms") govern your access to and use of the WHMAZ platform, website, and related services (collectively, the "Service") provided by WHMAZ ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Description of Service

WHMAZ is a software-as-a-service (SaaS) platform that provides web hosting billing, client management, and automation tools for hosting providers. The Service includes features such as automated invoicing, domain management, server provisioning, support ticket systems, and related functionality as described on our website.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. By creating an account, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that contain false or outdated information.

4. Subscription Plans and Fees

WHMAZ offers various subscription plans with different feature sets and pricing tiers. Details of available plans and their pricing are listed on our website. All prices are in US Dollars (USD) unless otherwise stated.

  • Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan).
  • All fees are exclusive of taxes, which may be added at checkout based on your location.

5. Price Changes

We reserve the right to modify our pricing at any time, including the subscription fees for any plan, in our sole discretion. Prices may increase or decrease, and we may introduce charges for new features or services.

  • Any price change will not affect your current billing period. Updated pricing takes effect at the start of your next billing cycle after the change.
  • For existing subscribers, we will provide reasonable advance notice of any price increase, by email or by posting a notice on our website.
  • If you do not agree to a price change, you may cancel your subscription before the new price takes effect, as described in the Cancellation section below. Your continued use of the Service after the change takes effect constitutes your acceptance of the new pricing.
  • Promotional, introductory, or discounted pricing is temporary. Unless we state otherwise, your subscription will renew at the then-current standard rate once the promotional period ends.

6. Payment Processing

Payments for the Service are processed by Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record for all transactions. When you purchase a subscription, you are purchasing from Paddle, and Paddle's terms and conditions apply to the payment transaction. Paddle handles all payment processing, invoicing, sales tax, and VAT on our behalf.

By making a purchase, you agree to Paddle's Terms of Use and Privacy Policy.

7. Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the applicable subscription fee for the next billing cycle using the payment method on file. You may cancel automatic renewal at any time through your account dashboard or by contacting our support team.

8. Free Trials

We may offer free trial periods for certain subscription plans. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. We will notify you before the trial ends and any charges are applied.

9. Cancellation

  • You may cancel your subscription at any time through your account dashboard or by contacting support.
  • Upon cancellation, your access to the Service will continue until the end of the current paid billing period.
  • No partial refunds will be issued for unused time remaining in a billing period, except as required by applicable law.
  • After cancellation, your data will be retained for 30 days, after which it may be permanently deleted.

10. Refunds

Refund requests are handled in accordance with our Refund Policy. Please review it for details on eligibility, timeframes, and how to request a refund.

11. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Distribute, share, or resell your account access to unauthorized parties.
  • Attempt to reverse-engineer, decompile, or disassemble the Service or any part thereof.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or transmit viruses, malware, or any harmful code.
  • Use the Service to send spam, phishing messages, or other unsolicited communications.
  • Scrape, data mine, or otherwise extract data from the Service by automated means without authorization.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use terms.

12. Intellectual Property

The Service, including its design, code, features, documentation, logos, and trademarks, is the exclusive property of WHMAZ and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service solely for its intended purpose during your active subscription.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

13. Your Data

  • You retain ownership of all data you upload to or create within the Service ("Your Data").
  • You grant us a limited license to use Your Data solely to provide and improve the Service.
  • We will not share, sell, or disclose Your Data to third parties except as described in our Privacy Policy or as required by law.
  • You are responsible for maintaining backups of Your Data. While we take reasonable precautions to protect your data, we are not liable for data loss.

14. Uptime and Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. We are not liable for any downtime, whether scheduled for maintenance or caused by circumstances beyond our reasonable control.

15. Third-Party Integrations

The Service may integrate with third-party services (e.g., cPanel, Plesk, domain registrars). Your use of such integrations is subject to the terms and policies of those third parties. We are not responsible for the availability, accuracy, or performance of third-party services.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WHMAZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

18. Indemnification

You agree to indemnify, defend, and hold harmless WHMAZ and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

19. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that may harm us or other users. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your subscription.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WHMAZ operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and WHMAZ regarding the use of the Service and supersede all prior agreements and understandings.
